Rajiv Gupta leads Latham’s India Practice, advising Indian and global clients on corporate matters.

Mr. Gupta has extensive experience in a wide range of corporate finance matters, including representing issuers and underwriters in both US and international securities transactions, particularly in initial public offerings, private placements, high-yield and investment-grade debt offerings, offerings of convertible debt, equity-linked and derivative products, structured finance, and exchange offers.

Mr. Gupta also regularly advises on various mergers and acquisitions, restructuring and merchant banking transactions, spin-offs, and joint ventures. Mr. Gupta’s equity derivatives experience includes advising investment banks, issuers, and individuals on private equity derivatives transactions, forward contracts, collar transactions, ISDA contracts, swaps, and transactions involving innovative financial products.

Mr. Gupta is a pre-eminent figure for India-related work and is regularly ranked among the top international capital markets and mergers and acquisitions lawyers in the country by Chambers, IFLR, Legal 500, and Who’s Who Legal.

  • The underwriters in Tower Infrastructure Trust’s US$3.4 billion initial public offering of shares on the BSE
  • MakeMyTrip on the US$1.4 billion sale by Naspers Limited of its ordinary shares and Class B shares in MakeMyTrip, representing approximately 42.5% of the voting power, to Ctrip.com International Ltd.
  • The underwriters on Impact Investment Exchange’s WLB2 and WLB3 bond issues being undertaken as part of a US$150 million series of issuances meant to create sustainable livelihoods for over 2 million women across Asia through innovative finance
  • The joint bookrunning lead managers in Apollo Hospitals Enterprise Limited’s INR3.3 billion offering of shares on the NSE and BSE
  • The underwriters in ICICI Bank Limited’s offer of US$5 billion American depositary shares
  • Vedanta Resources plc in its US$1.7 billion dual tranche bond offering, comprising of US$1.2 billion 6.0% bonds due 2019, and US$500 million 7.125% bonds due 2023
  • Vedanta Resources plc in its US$8.67 billion acquisition of a majority stake in Cairn India
