    Profile

    Ghaith Mahmood advises clients on all aspects of intellectual property and technology transactions — from developing, licensing, and commercializing IP assets, to advising on the IP aspects of strategic transactions.

    Mr. Mahmood handles a full spectrum of IP and technology matters, including:

    • Licensing agreements involving technology, software, trademarks, and/or content
    • Strategic alliances, partnerships, and joint ventures
    • Video game development and publishing agreements
    • Manufacture, supply, and resale agreements
    • Open-source licensing
    • Customer and end-user arrangements
    • Consumer protection and advertising matters
    • Licensing and other commercial issues surrounding non-fungible tokens (NFTs)

    Mr. Mahmood is one of the leaders of the firm’s Video Gaming and Esports Practice Group, and a key member of the firm’s Global Digital Assets & Web3 Practice.

    He also regularly collaborates with corporate colleagues to provide counseling on IP and technology matters in the context of:

    • American Airlines in negotiating bilateral frequent flyer programs with over 20 airlines, and also in negotiating strategic partnerships with online travel platforms
    • Nestle USA in developing its licensing strategy related to branded food products and in negotiating more than 20 related IP license agreements
    • Mattel in negotiating strategic alliance and outsourcing agreements, including to pioneer new ventures throughout Asia
    • NextVR in negotiating content and technology agreements related to the production and distribution of live-action immersive experiences in virtual reality

    Intellectual Property Guidance in Mergers and Acquisitions

    • Honey Science Corporation on their acquisition by PayPal
    • Ring on their acquisition by a multi-national technology company 
    • Riot Games on their acquisition of Hypixel Studios
    • Insomniac Games on their acquisition by Sony Interactive Entertainment

    • Starwood on IP and loyalty program matters related to its merger with Marriott
