Latham & Watkins Advises on Sculptor Capital Management’s Completed Acquisition by Rithm Capital Corp.

A multidisciplinary team represented the Special Committee of the Board of Directors of Sculptor Capital Management in high-stakes deal.

Rithm Capital Corp. (NYSE: RITM; Rithm) and Sculptor Capital Management Inc. (Sculptor) have announced that they have completed the previously announced acquisition by Rithm of Sculptor for US$12.70 per Class A share in a transaction valued at approximately US$719.8 million. In connection with the completion of the transaction, Sculptor's common stock will cease trading on the New York Stock Exchange and will be delisted.
