Latham Advises GIP in Sale of Renewable Assets to Engie Brasil Energia

Members of the firm’s Latin America Practice advise the infrastructure investor in the largest renewables M&A transaction in 2023 to date in the region.

GIP Helios II S.A. has executed a share purchase and sale agreement with Engie Brasil Energia Complementares Participações Ltda. (EBECP), which completes the purchase by EBECP of 100% of the shares issued by Atlas Energia Renovável do Brasil S.A.

This is the largest renewables M&A transaction of 2023 in Latin America to date.

Latham & Watkins LLP represents GIP Helios II S.A. as the seller in the transaction, with a corporate deal team led by partners Tony Del Pino and Carlos Ardila, with associates Francisco Lanusse and Melanie Von Staa Toledo. Advice was also provided on tax matters by New York partner Alan Kimball, with associate Christina McLeod.
