Latham & Watkins Advises on Atlas Technical Consultants, Inc.’s Definitive Agreement to Be Acquired by GI Partners

Atlas Technical Consultants, Inc. (Nasdaq: ATCX), a leading provider of infrastructure and environmental solutions, has announced that it has entered into a definitive agreement to be acquired by private investment firm GI Partners in an all-cash transaction valued at approximately US$1.05 billion, including outstanding debt. The transaction is expected to close in the second quarter of calendar 2023, subject to approval by Atlas shareholders, receipt of regulatory approvals and other customary closing conditions.

Latham & Watkins LLP represents the lenders in a financing to support the take-private transaction with a finance team led by partners Stelios Saffos, Peter Sluka, Paul Bonewitz, John Lister, Josh Holt, and counsel Seung-Ju Paik, with associates Katherine Page, Juan Carlos Olivares, Diana Duan, and Julio Martinez Rivas.
