Patrick T. Seaver

Retired Partner

Patrick Seaver retired from the partnership in December 2007. He served as primary outside counsel to New York Stock Exchange, Nasdaq Global Market and privately held companies. Mr. Seaver had practiced with the firm since 1978 and had been chair of the Corporate Department of the firm's Orange County office since 1990.

Mr. Seaver represented both emerging-growth and publicly-held companies in a wide range of matters including venture capital financings, initial and follow-on public equity offerings and private and public debt offerings. He also represented numerous buyers and sellers in major merger and acquisition transactions, spin-offs and recapitalizations. His experience included dealing with corporate governance issues, corporate disclosure issues, shareholder relations and executive compensation issues as well as counseling individual directors and committees of directors in conflict-of-interest situations, going private transactions and corporate investigations.

He has led legal teams in merger and acquisition transactions involving Advantage Sales & Marketing, Broadcom Corporation, C&D Aerospace, CIMA, Intel Corporation, Sun Microsystems and Varco International. He has also been involved in public and Rule 144A offerings for Corcept Therapeutics, DexCom, Exult, ResMed, Resources Connection, Skilled Health Group and Varco International. Mr. Seaver's investment banking clients include Credit Suisse, Deutsche Banc, Lehman Brothers, Merrill Lynch and Piper Jaffray.

Mr. Seaver has served as a director of Tuboscope Inc. (NYSE) and as a director and Vice Chairman of Hydril Company (Nasdaq). He has served on the boards of various corporations including as Chairman of Opera Pacific and as Director of SCAN Health Plan.
